We’re searching for a Senior Corporate Counsel, who will be part of a growing team of legal professionals to provide best-in-class counsel. In this role, you handle SEC periodic reports, securities, corporate governance, and equity compensation matters.  You should have outstanding core legal skills, balanced business and legal judgment, and a commitment to the growth and success of DraftKings.  Sound good to you? What you’ll do as a Senior Corporate Counsel:

  • Assist in preparing the Company’s public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other SEC-related documents.

  • Work closely with senior leadership and investor relations regarding SEC periodic reports and participate in disclosure committee meetings.

  • Assist with public company communications, including press releases and investor presentations.

  • Assist with administration of the Company’s Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters.

  • Support public company secretarial function, including preparing materials for the Company’s board of directors and related committees.

  • Support Internal Audit with SOX compliance matters.

  • Assist with the Company’s Annual Meeting of Stockholders

  • Support mergers and acquisitions activity and related commercial arrangements.


​What you’ll bring:   

  • At least 5 years of relevant experience in securities and corporate governance matters, SEC periodic reports, and securities law compliance; in-house experience a plus.

  • Juris Doctorate Degree from an accredited institution with excellent academic credentials.

  • Active member in good standing with the Massachusetts Bar, or ability to be admitted as in-house counsel in Massachusetts.

  • Experience in the corporate securities practice of a law firm or at a publicly-traded company.

  • Highly organized and able to work both independently and as a member of a team.

  • Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously.
